Terms and Conditions


Meaning of Terms
Sub-Contractor: Shall mean the person working on a part or whole of an order from Prestige Editors
Publishing Firm: Shall mean Prestige Editors

 

  1. Scope of Work: The sub-contractor agrees to provide quality services to the publication firm (Prestige Editors)  as described in the scope of work document or assignment brief, or any other document where the details of the work to be done are contained. The publication firm reserves the right to modify the scope of work minimally at any time, as we receive communication from our client.

  2. Deliverables: The sub-contractor agrees to provide the deliverables as described in the scope of work document. The sub-contractor must deliver the work within the agreed-upon timeline. If the sub-contractor fails to meet the delivery deadline, the publication firm may terminate the agreement and withhold payment. If the quality of work from the sub-contractor is not up to the standard contained in the scope of work, the Publication Firm reserves the right to terminate the agreement and withhold part or all of the payment.

  3. Payment: The publication firm agrees to pay the sub-contractor for the services provided as described in the scope of work document. The payment will be made in accordance with the payment schedule in bits as we receive payment from our client. 

  4. Confidentiality: The sub-contractor agrees to maintain the confidentiality of all information provided by the publication firm, including but not limited to, confidential information of the client, intellectual property of the Prestige Editors, and details about the order.

  5. Intellectual Property: The sub-contractor agrees that all work produced under this agreement is the property of the Prestige Editors. The sub-contractor will not claim any ownership rights to the work produced under this agreement.

  6. Termination: Either party may terminate this agreement at any time upon written notice to the other party. The publication firm reserves the right to terminate this agreement immediately if the sub-contractor fails to meet the terms and conditions outlined in this agreement. If the sub-contractor terminates this agreement without delivering on the order as earlier agreed, they may lose the payment meant for the order as Prestige Editors will have to look for another sub-contractor or freelancer to complete the order.

  7. Independent Contractor: The sub-contractor is an independent contractor and is not an employee or agent of the Prestige Editors. 

  8. Warranty: The sub-contractor warrants that the services provided under this agreement will be performed in a professional manner and will comply with all applicable laws and regulations. The sub-contractor also agrees to be available for further corrections on a job where the clients requires minor or major corrections.

  9. Indemnification: The sub-contractor agrees to indemnify and hold harmless the publication firm, its officers, directors, employees, and agents from any claims, damages, or expenses arising out of or related to the sub-contractor's performance under this agreement.

  10. Governing Law: This agreement will be governed by and construed in accordance with the laws of the jurisdiction of the Federal Republic of Nigeria.
    11. Prestige Editors reserves the right to change any part of these Terms and Conditions without prior notice to a sub-contractor. However, the Sub-contractor will be duly notified if the adjustment will affect their ongoing order.
